Bowling Green Business University, Inc. Articles of Dissolution
KNOW ALL MEN BY THESE PRESENTS:
That I, J. Lewie Harman of Bowling Green, Kentucky, being the duly elected, qualified and acting Vice President of Bowling Green Business University, Inc., a Kentucky Corporation, do hereby make and publish, on behalf of the said Corporation, these Articles of Dissolution, and to that end and for that purpose, I hereby state as follows, to wit:
(a) The name of the corporation to be dissolved is Bowling Green Business University, Inc.
(b) That the Corporation has heretofore filed with the Secretary of State of Kentucky and with the clerk of the county court of the county in which the registered office of the Corporation is situated, namely Warren County, a Statement of Intent to Dissolve and the same was recorded by the Secretary of State in his office on the 6th day of January, 1961.
(c) All debts, obligations and liabilities of the Corporation have been paid and discharged or adequate provision has been made therefor.
(d) All the remaining property and assets of the Corporation have been distributed among the shareholders in accordance with their respective rights and interests.
(e) That there are no suits pending against the Corporation in any court.
IN TESTIMONY WHEROF, J. Lewie Harman has signed and acknowledged the foregoing Articles of Dissolution on behalf of the Corporation this 16th day of December, 1964.
